Terms of Service
Effective Date: April 8, 2026
Please read these Terms of Service ("Terms") carefully before using the Eggdropp platform, website, or mobile application (collectively, the "Service") operated at eggdropp.app. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
1. Nature of Service — Purchasing Agent Relationship
Eggdropp does not sell eggs. Eggdropp acts solely as a purchasing agent on behalf of its customers. When you place an order through the Service, you are directing Eggdropp to purchase farm-fresh eggs from a local farm on your behalf and deliver them to you.
By using the Service, you acknowledge and agree that:
- Eggdropp is not the seller or manufacturer of any eggs delivered through the Service.
- Title to the eggs transfers directly from the farm to you, the customer. Eggdropp never takes ownership of the eggs.
- Eggdropp acts in a ministerial capacity only — locating, procuring, and transporting eggs at your direction.
- All eggs are sourced from independent third-party farms, which are solely responsible for the quality, safety, and condition of the eggs they produce.
2. Farm Product Disclaimer
Farm-fresh eggs are an agricultural product subject to natural variation. Eggdropp makes no representations or warranties, express or implied, regarding:
- The size, color, shell integrity, or freshness of any eggs.
- The farming practices, feed, or living conditions of any farm's hens.
- Compliance with any particular organic, free-range, or other certification standards, unless expressly stated by the farm.
You assume all risk associated with the consumption of farm-fresh eggs, including but not limited to risks associated with raw or undercooked egg consumption. Eggdropp strongly recommends proper food handling and cooking practices.
3. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EGGDROPP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Personal injury or illness arising from consumption of eggs.
- Property damage caused during delivery.
- Loss of data, revenue, or profits.
- Any damages resulting from the acts or omissions of third-party farms or delivery personnel.
IN NO EVENT SHALL EGGDROPP'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO EGGDROPP IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
4. Indemnification
You agree to indemnify, defend, and hold harmless Eggdropp and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service.
- Your violation of these Terms.
- Any claim that your conduct caused harm to a third party.
5. Dispute Resolution — Mandatory Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
5.1 Agreement to Arbitrate
You and Eggdropp agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service — including questions about the existence, validity, or enforceability of this arbitration agreement — shall be resolved exclusively through final and binding arbitration, rather than in court.
5.2 Arbitration Rules
Arbitration shall be conducted by a mutually agreed-upon arbitrator under the rules of the American Arbitration Association (AAA) Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall take place in the county where you reside, or by video conference if mutually agreed. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
5.3 Waiver of Jury Trial
BY AGREEING TO ARBITRATION, YOU AND EGGDROPP EACH WAIVE THE RIGHT TO A TRIAL BY JURY.
5.4 Class Action Waiver
YOU AND EGGDROPP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.
5.5 Small Claims Exception
Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdiction, so long as the action remains in small claims court and is not removed or appealed to a court of general jurisdiction.
5.6 Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to legal@eggdropp.app within thirty (30) days of first using the Service. Your opt-out notice must include your full name, email address, and a clear statement that you wish to opt out of arbitration.
6. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the state in which Eggdropp is incorporated, without regard to its conflict of law provisions.
7. Modifications to Terms
Eggdropp reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms at eggdropp.app/terms and updating the Effective Date above. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.
8. Entire Agreement
These Terms constitute the entire agreement between you and Eggdropp with respect to the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
